By accessing or using the IntuCloud FinOps service (the "Service") operated by Intu Cloud by CyberSapient ("us", "we", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the Terms, you may not access the Service.
2. Description of Service
IntuCloud FinOps is a cloud-based software-as-a-service (SaaS) platform designed to help organizations optimize their cloud costs and manage cloud resources efficiently. The Service includes features such as cost analysis, resource optimization recommendations, budget tracking, and managed DevOps services.
3. User Accounts
To access the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
4. Subscription and Payments
The Service is provided on a subscription basis. You agree to pay the fees associated with your chosen subscription plan. All fees are exclusive of taxes, which you are responsible for paying. Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.
We reserve the right to change our subscription plans and pricing at any time. Any changes will be communicated to you in advance.
5. Data and Privacy

You retain ownership of all data you upload to the Service. We will not access or use your data except as necessary to provide the Service or as required by law.

You are responsible for all activity that occurs under your account. You agree not to use the Service for any illegal purposes or in violation of any applicable local, state, national, or international law. You shall not:
- Upload or transmit viruses or any other malicious code.
- Attempt to gain unauthorized access to the Service or its related systems.

In no event shall Intu Cloud by CyberSapient, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
10. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
11. Governing Law

14. Service Level Agreement (SLA)
We commit to providing a minimum uptime of 99.9% for our services, excluding scheduled maintenance and force majeure events. Details of our SLA can be found in our dedicated SLA document.
15. Termination
We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Service, us, or third parties, or for any other reason.
16. Indemnification
You agree to defend, indemnify, and hold harmless Intu Cloud by CyberSapient, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.
